HABI Controls ApS is a company registered in Denmark (CVR 45730484), with registered office at Fjordvejen 142, Rønshoved, 6340 Kruså, Denmark. These terms govern use of the habicontrols.com website and general commercial engagement with HABI Controls ApS — including quotations, orders, pilot agreements, and engineering services — unless superseded by a separate signed agreement, in which case the signed agreement takes precedence.
Content on this website is provided for general informational purposes. While we aim to keep it accurate and current, product specifications, certification status, and availability may change as HABI Button progresses through development, testing, and certification. Please confirm current details directly with us before relying on them for design-in or purchasing decisions.
HABI Button is under active development and certification. Where this website describes certification or testing work as underway or in progress, this reflects our roadmap at the time of publishing and is not a claim of current certified status. Formal specifications, drawings, and certification documentation are provided separately as part of a quotation or order, and those documents take precedence over general descriptions on this website.
Quotations issued by HABI Controls are valid for the period stated in the quotation, or 30 days from issue if no period is stated. An order is only binding on HABI Controls once confirmed in writing, including by email. HABI Controls reserves the right to decline any order prior to written confirmation.
HABI Controls warrants that products delivered will conform to the specification agreed in the applicable order confirmation and will be free from material defects in materials and workmanship for the warranty period stated in that order confirmation. This warranty does not cover damage from misuse, unauthorized modification, incorrect installation, or normal wear. Remedies for a valid warranty claim are limited, at our discretion, to repair, replacement, or refund of the affected item.
To the extent permitted by Danish law, HABI Controls' total liability arising from any order or engagement is limited to the amount paid for the products or services giving rise to the claim. HABI Controls is not liable for indirect or consequential losses, including lost profits, lost production, or downtime, except where liability cannot be excluded or limited under applicable law, such as in cases of gross negligence, willful misconduct, or personal injury.
Technical information, drawings, pricing, and other non-public information shared between HABI Controls and a customer or partner during a commercial engagement, including pilots and evaluations, is treated as confidential and used only for the purposes of that engagement, unless otherwise agreed in writing.
HABI Button, its underlying sensing and feedback technology (patent-pending), and all associated branding, logos, and content are the property of HABI Controls ApS and are protected under applicable Danish and international intellectual property law. Nothing on this website or in a standard commercial engagement grants a license to use our intellectual property beyond using a delivered product for its intended purpose, without separate prior written consent.
HABI Controls is not liable for delay or failure to perform caused by circumstances beyond its reasonable control, including supply chain disruption, component shortages, natural disaster, war, or government action. Affected obligations are suspended for the duration of the event.
These terms are governed by Danish law. Any disputes arising in connection with these terms or your engagement with HABI Controls ApS are subject to the exclusive jurisdiction of the Danish courts, unless the parties agree in writing to an alternative dispute resolution process.
If any provision of these terms is found unenforceable, the remaining provisions continue in full effect, and the unenforceable provision is replaced with one that most closely reflects its original intent.
We may update these terms from time to time. The version published at the time of your order, agreement, or use of the website applies.

These general payment terms apply to commercial orders, pilot agreements, and paid engineering engagements with HABI Controls ApS, unless a signed agreement specifies otherwise.
Bespoke engineering work, pilot units, or custom configuration may require a deposit or milestone-based payment schedule, agreed with the customer in advance of work starting. Work will not commence, and units will not ship, until an agreed deposit or milestone payment has been received where one applies.
Ownership of delivered products remains with HABI Controls ApS until full payment has been received. Until that point, the customer holds the products in safekeeping on HABI Controls' behalf and must not resell, pledge, or otherwise encumber them in a way that prejudices this right.
Interest may be charged on overdue amounts in accordance with the Danish Interest Act (renteloven). HABI Controls also reserves the right to suspend outstanding or future deliveries while an account has overdue invoices.
Any dispute over an invoice must be raised in writing within 14 days of the invoice date. Undisputed amounts on the same invoice remain due on the original terms.

We keep enquiry and business correspondence for as long as reasonably necessary to manage the relevant relationship and to meet our legal and accounting obligations, after which it is deleted or anonymized.
Under the EU General Data Protection Regulation (GDPR), you have the right to request access to, correction of, or deletion of your personal data, and to object to or restrict certain processing.
